AFFILIATE PROGRAM GROUP CONSTITUTION
The name of this Affiliate Program Group shall be the Penn State School of Music Alumni Group.
Section 1. To assist Penn State in launching the School of Music into national prominence by acting as an advisory board of colleagues who maintain close contact with the School of Music and its faculty; providing a forum in which to foster the educational and professional opportunities of alumni, current students and faculty; and securing financial support for the School of Music.

Membership in the School of Music Alumni Association is opened to all graduates and friends of the School of Music, regardless of their membership in the Penn State Alumni Association.
Section 1. A seven-member Board of Directors shall be elected from the membership at-large for a term of three years, with the following exception--when the Constitution goes into effect, the initial at-large members of the Board of Directors shall begin their service on a staggered basis, four serving three-year terms and three serving two-year terms.
Section 2. Ex-officio members of the Board of Directors shall include the Director of the School of Music and the Director of Alumni Relations of the College of Arts and Architecture.
Section 3. A nominating committee, appointed by the President with approval of the Board, shall accept and recommend nominations for Board positions. Nominated candidates shall be voted on by dues-paying APG members by mail or electronic ballot.
Section 4. Those receiving the highest number of votes for the open positions shall be elected to the Board. Those elected to the Board shall assume their positions the July 1st following the election.
Section 5. No members of the Board of Directors may be elected for more than two consecutive terms.
Section 6. When there is a vacancy on the Board of Directors between elections, the Board of Directors shall fill it with an appointee who shall hold office throughout the remainder of the un-expired term.
Section 7. The Board of Directors shall conduct all business of the School of Music APG.
Section 8. All decisions of the Board of Directors shall be by a majority vote of the directors. In such cases as necessary, electronic voting will be conducted.
Section 9. The Board of Directors may appoint for itself certain Advisors to the Board, and assign rights less than or equal to a Board member, save that no Advisor may vote.
Section 1. All officers must be graduates of the School of Music
Section 2. The Board of Directors shall elect the officers at their first meeting following January 1st.
Section 3. The officers of the School of Music APG shall be: President, Vice President, Secretary and Treasurer
Section 4. The Board of Directors shall elect the officers. at their first meeting following the annual meeting.
Section 5. The terms of all officers shall be for two years commencing July 1st following the election.
Section 6. No officers may be elected for more than two consecutive terms
Section 7. When an office becomes vacant, the Board of Directors shall fill it with an appointee who shall hold office throughout the remainder of the un-expired term.
Section 1. The President shall preside at all meetings and shall be responsible for general supervision of all work of the School of Music APG.
A. All committees shall be appointed by the President with approval of the Board of Directors.
B. The President or President’s designee shall serve on all committees as an ex-officio member.
C. The President or President’s designee shall serve as the School of Music APG delegate to the Arts and Architecture Alumni Society Board of Directors.
D. The President shall sign all written contracts.
E. The President shall perform such other duties as assigned by the Board of Directors.
Section 2. The Vice President shall preside in the absence of the President and shall perform such duties as may be assigned by the President.
A. The Vice President shall assume the duties of the President in the event of incapacity or absence of the President.
B. The Vice President shall perform such other duties as assigned by the Board of Directors.
Section 3. The Treasurer shall be responsible for depositing and accounting for all dues, donations or other incidental monies that may result from events organized by the School of Music APG.
A. The Treasurer will be responsible for reviewing and reporting on the finances of the School of Music APG.
B. The Treasurer will comply with the accounting policies of Penn State University.
C. The Treasurer shall perform such other duties as assigned by the Board of Directors.
Section 4. The Secretary shall be responsible for the recording and reading of the minutes of all meetings, taking care of correspondence and submitting reports to the members of the Board of Directors and the APG.

Section 1. The President shall appoint committees as may be deemed necessary by the Board of Directors or the membership.
Section 2. Committee membership shall be open to all members of the School of Music APG. Ad hoc membership may be appointed as deemed necessary by the Board of Directors.
Section 3. Committee chairpersons shall report their business regularly to the Board of Directors at its meetings.
Section 1. Annual membership dues shall be set by a majority vote of the Board of Directors.
Section 2. Membership year shall commence on July 1st and end on June 30th, with annual dues collected during the month of July.
Section 3. Payment of dues is required in order to be eligible to vote, receive information about or participate in APG activities.
Section 1. At least one regular meeting of the School of Music APG shall be held each year on the date and at the place established by the Board of Directors. The Secretary shall send out written notices of all meetings at least four weeks in advance of the meetings.
Section 2. Special meetings of the School of Music APG shall be called at the direction of the President with the approval of the Board.
Section 3. Committees shall meet at the direction of the committee chairperson, or at the request of the President.
Section 4. If desired by the majority of the Board of Directors, any meetings of the Board of Directors may be conducted via conference call.
Section 1. Any APG member in good standing may propose an amendment, which shall be placed before the Board of Directors at least two months prior to the next meeting of the Board of Directors.
Section 2. Two-thirds of the APG members responding may amend the Constitution provided: 1) the amendments shall have been placed before the Board of Directors at least two months before the meeting at which such amendment is acted upon; and 2) the amendment or amendments, shall previous to their adoption, have been acted favorably upon by the majority of the Board of Directors.
Section 3. The Constitution and its amendments must not be in conflict with the Constitution of the Arts and Architecture Alumni Society, or the rules and regulations for the constituent societies as established by the Executive Board of the Penn State Alumni Council and the Penn State Alumni Association
